1. Overview

This Sweepstakes is sponsored by RepeatMD, Inc. (“RepeatMD” or “the Company”). The “2026 Sell More this Holiday Season Virtual Event” Sweepstakes (the “Sweepstakes”) is associated with the virtual event of the same name (the “Virtual Event”). During the Virtual Event, an eligible attendee (“Attendee”) may enter the Sweepstakes when prompted via on-screen QR codes, clickable links provided in the event chat, or on-screen ticker banners.

2. Eligibility

2.1 Eligibility. The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry and who are owners or operators of aesthetic practices. Employees, officers, and directors of the Company and its respective parents, subsidiaries, and affiliates, and the immediate family members (spouses, parents, children, and siblings, regardless of where they live) and household members of each are not eligible to enter or win. The Sweepstakes is void where prohibited by law.

2.2 Entry Limit. An Attendee may enter a maximum of five (5) times during the Sweepstakes Period. Each entry opportunity will be available for approximately one (1) minute. Entries generated by script, macro, or other automated means or by any means which subvert the entry process are void.

3. Sweepstakes Period

The Sweepstakes begins and ends on October 22, 2026, coinciding with the duration of the Virtual Event (the “Sweepstakes Period”).

4. Prizes

4.1 Grand Prize. One (1) Grand Prize winner will receive one (1) CHANEL bag. The Approximate Retail Value (“ARV”) of the Grand Prize is $6,905.

4.2 Winner. There will be one (1) Grand Prize winner selected. The total ARV of all prizes is $6,905.

4.3 Restrictions. The prize is non-transferable and no substitution will be made except as provided herein at the Company’s sole discretion. The Company reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. The winner is responsible for all taxes and fees associated with prize receipt and/or use. The winner of any prize with an ARV of $600 or greater will be required to provide a completed IRS Form W-9 and will receive an IRS Form 1099-MISC.

5. Selection Process

The potential winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The drawing will be conducted on or about October 22, 2026, live during the Virtual Event. The decisions of the Company are final and binding on all matters relating to the Sweepstakes.

6. Odds

The odds of winning a prize depend on the number of eligible entries received during the Sweepstakes Period.

7. Publicity

Except where prohibited by law, participation in the Sweepstakes constitutes the winner's consent for the Company to use the winner’s name, likeness, voice, opinions, hometown, and state for promotional purposes in any media, worldwide, without further payment or consideration, in perpetuity.

8. Winner Verification

The potential winner will be announced live during the Virtual Event. The potential winner must return a completed and signed Affidavit of Eligibility and Liability/Publicity Release within seven (7) business days of notification. If a potential winner cannot be contacted, fails to sign and return the required documents within the required time period, or if the prize is returned as undeliverable, the potential winner forfeits the prize. DECISIONS OF THE SPONSOR ARE FINAL AND BINDING IN ALL MATTERS.

9. LIMITATION OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ANY OF ITS PERSONNEL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES OR FOR ANY LOSS OF PROFITS, LOSS OF DATA OR LOSS OF USE DAMAGES, OR DEATH OR BODILY HARM, RELATING TO THE SWEEPSTAKES, THE SWEEPSTAKES PRIZE, OR THESE TERMS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE COMPANY'S AND ITS PERSONNEL'S MAXIMUM AGGREGATE LIABILITY RELATING TO THE SWEEPSTAKES, THE SWEEPSTAKES PRIZE, OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE PRECEDING LIMITATIONS SHALL APPLY TO ANY AND ALL LIABILITIES OR CAUSES OF ACTION HOWEVER ALLEGED OR ARISING, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, BREACH OF CONTRACT, OR ANY OTHER CLAIM, WHETHER IN TORT, CONTRACT, OR EQUITY.

10. Indemnity and Release

By participating in the Sweepstakes, you agree to release, defend, indemnify and hold harmless RepeatMD, Inc. and its respective parents, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, actions, causes of action, damages, liabilities, losses, and expenses of any nature whatsoever, which you, your heirs, successors, or assigns may now or hereafter have, arising out of or in connection with your participation in the Sweepstakes and/or your acceptance, use, or misuse of any prize.

11. Dispute Resolution

These Official Rules shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any controversy or claim arising out of or relating to these Official Rules, or the breach thereof, shall be settled by arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The seat of the arbitration shall be New York, New York. The arbitration shall be conducted by a single, neutral arbitrator. The arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: YOU AND THE COMPANY ALSO AGREE THAT EACH IS GIVING UP THE RIGHT TO A JURY TRIAL AND THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT OR REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.

12. Winner List

For the name of the winner, send an email request to info@repeatmd.com. Requests must be received no later than January 22, 2027.

13. General Provisions

13.1 Entire Agreement. These Official Rules constitute the entire agreement between you and the Company with respect to the Sweepstakes.

13.2 No Waiver. The failure of the Company to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

13.3 Severability. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

13.4 Assignment. You may not assign your rights or obligations under these Official Rules without the prior written consent of the Company. The Company may assign its rights and obligations under these Official Rules at its sole discretion.

13.5 No Third Party Right. These Official Rules do not create any third-party beneficiary rights.

13.6 Survival. Sections 7, 9, 10, 11, and 13 shall survive the termination of the Sweepstakes.
